Item 8.01 Other Events.

On June 16, 2016, The ONE Group Hospitality, Inc. announced that its wholly-owned subsidiary had entered into a license agreement with Condado Duo Vanderbilt SPV, LLC and International Hospitality Restaurants, Inc. to open an STK restaurant and an STK Beach, an outdoor restaurant open for lunch and dinner featuring water views and incorporating elements of traditional STK restaurants, in the Condado district of San Juan, Puerto Rico. The STK restaurant and STK Beach are expected to open in 2017.
